1. Introduction

2. Definitions
- "Client" refers to any individual or entity that engages our Services or makes a payment through the Website.
- "Services" include Web Development, App Development, AI & Automation, System Architecture, and Security Solutions, as described on this Website.
- "Deliverables" means all work products, code, designs, documentation, and materials produced during a project engagement.
- "Payment Gateway" refers to Razorpay Software Private Limited, through which all online payments are processed.
3. Services Offered
We provide the following professional services:
- Web Development — Custom websites, web applications, e-commerce platforms, and SaaS products built with modern frameworks.
- App Development — Native iOS, Android, and cross-platform mobile applications including design, development, and deployment.
- AI & Automation — Custom AI/ML models, LLM integrations, RAG pipelines, and intelligent workflow automation solutions.
- System Architecture — Scalable infrastructure design, microservices architecture, cloud strategy, and performance engineering.
- Security Solutions — Security audits, penetration testing, vulnerability assessments, compliance consulting, and secure architecture design.
The specific scope, deliverables, timelines, and pricing for each engagement are agreed upon separately via a written proposal, statement of work (SOW), or equivalent agreement.
4. Engagement & Acceptance
All engagements begin with a consultation and a written scope document. By making a payment through this Website, or by signing a statement of work, the Client acknowledges acceptance of the proposed terms, scope, deliverables, and timelines. Any changes to the agreed scope must be communicated in writing and may be subject to revised pricing and timelines.
5. Payments & Fees
Payments for our Services are processed securely through Razorpay, a PCI DSS Level 1 compliant payment gateway regulated by the Reserve Bank of India (RBI). Accepted payment methods include UPI, debit/credit cards, net banking, wallets, and EMI options.
A platform fee of 2% is applied on all transactions made through the Website's payment portal. This fee is calculated on the service amount and is shown clearly before you confirm the payment. All amounts are in Indian Rupees (INR).
The minimum transaction amount is ₹1,000. Payments are non-transferable. Invoices and payment confirmations are sent via email to the address provided at the time of payment.
In case of a payment failure, the amount (if debited) will be refunded to your source account as per your bank's processing timelines, typically within 5–7 business days.
6. Intellectual Property
Unless otherwise specified in a written agreement, upon full payment for the agreed Deliverables, the Client receives a non-exclusive, perpetual license to use the Deliverables for the intended purpose.
The Service Provider retains the right to use general knowledge, frameworks, tools, libraries, and reusable components developed during the engagement for future projects. Any pre-existing intellectual property or open-source components remain governed by their respective licenses.
Full ownership transfer of Deliverables may be negotiated as part of the engagement agreement and may involve additional fees.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes but is not limited to business strategies, technical specifications, source code, credentials, and user data, unless disclosure is required by law or agreed upon in writing.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from the use of our Services or this Website.
Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount paid by the Client for the specific engagement giving rise to the claim.
9. Warranties & Disclaimers
We warrant that the Services will be performed in a professional and workmanlike manner consistent with industry standards. However, the Website and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
We do not guarantee that the Website will be uninterrupted, error-free, or free of harmful components. We are not responsible for the accuracy, reliability, or completeness of any third-party services, including the Payment Gateway.
10. Cancellation & Termination
Either party may terminate an engagement by providing written notice. In such cases, the Client shall pay for all work completed up to the date of termination. Cancellation or refund terms are governed by our Refund & Cancellation Policy.
We reserve the right to suspend or terminate access to the Website at any time without prior notice for violations of these Terms or any applicable law.
11. Third-Party Services
The Website integrates with third-party services including Razorpay (payment processing) and Resend (email delivery). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the performance, availability, or policies of any third-party services.
12. Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If no resolution is reached within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration being Guwahati, Assam, India. The language of arbitration shall be English.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any legal action or proceedings shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam, India.
14. Amendments
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last updated" date. Continued use of the Website or Services after such changes constitutes acceptance of the updated Terms. Clients with active engagements will be notified of material changes via email.
